#1 Project description of the website

This is one of the most important ingredients of a perfect website-building contract. Before you sign a contract with any web developer, make sure it has a complete description of your project. It helps avoid any chance of disputes or conflicts with your Indian developer.

#2 Price & payment

The cost to build the website should be mentioned in the website contract so that both parties (Designer & Client) have no confusion. Along with the website development cost, the payment terms should also be an integral part of the contract.

#3 Confidentiality

This clause states that all the confidential information in the contract must be kept confidential unless it’s required by the law to be disclosed. It also says that the confidential information in the contract, for any purpose beyond the scope of the agreement, is expressly forbidden without the prior consent of the parties.

#4 Intellectual property

By signing the website contract, your Indian developer agrees that any intellectual property (such as copyrights, patents, trade secret rights, etc.) provided to him/her by you will remain your sole property. This means that your Indian web designer will refrain from using such intellectual property upon the termination of this Agreement.

#5 Amendments

According to the website contract, both parties agree that any amendments made to the agreement must be in writing, where they must be signed by both parties to the agreement.

#6 Assignment

The “Assignment” clause of the website contract says that the parties must agree not to assign any of the responsibilities in the agreement to a third party unless consented to by both parties in writing.

#7 Representation & warranties

By signing the contract, the client and the website developer agree & disclose that they are fully authorized to enter the agreement. This clause also says that both the particles do not violate the rights of any third party or else violate other, if any, agreements made between them and/or any other organization, person, business or law/governmental regulation.

#8 Disclaimer of warranties

According to this clause of the website contract, the web developer warrants to complete the services listed in the agreement as per the client’s requirements and specifications. However, at the same time, the developer does not represent or warrant that such services provided in this agreement will create additional sales, exposure, brand recognition, profits, or other benefits.
